Terms of Service

1. Definitions
"Snodo" means Snodo [TBD — legal entity name], a company registered in Ireland.
"Platform" means the Snodo online discovery platform.
"Builder" means a person or entity that lists an Agent on the Platform.
"Buyer" means a person or entity that discovers and transacts with a Builder.
"Agent" means a software program, tool, model, or automated system listed by a Builder.
"Transaction" means any exchange between a Builder and a Buyer, whether facilitated through the Platform or directly.
2. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Platform.
3. Nature of the Platform
3.1 Snodo operates a discovery platform that facilitates exchanges between independent third parties — Builders who create Agents and Buyers who seek Agents.
3.2 Snodo is not a party to any Transaction between a Builder and a Buyer. Snodo does not sell, resell, broker, or warrant any Agent listed on the Platform.
3.3 Any Transaction is solely between the Builder and the Buyer. Snodo provides the venue — a digital noticeboard where independent parties find each other.
3.4 The Platform is intended for business-to-business (B2B) use only.
4. Eligibility
You must be at least 18 years of age, have legal capacity to enter into binding contracts, and be a registered business, sole trader, or legal entity.
5. Builder Listings
Builders must provide accurate descriptions of their Agents, declare data categories processed, provide an EU AI Act risk classification, and warrant that their Agents do not infringe any intellectual property rights.
6. Transactions Between Builders and Buyers
All Transactions are solely between the Builder and the Buyer. Snodo is not a party to any Transaction. The Transaction terms — including price, licence scope, delivery, support, warranties, and refunds — are negotiated and agreed solely between the Builder and the Buyer.
7. Limitation of Liability
Snodo's total aggregate liability shall not exceed the total amount of the Platform Fee charged to the relevant user in the three months preceding the event giving rise to the liability. Snodo is not liable for indirect, incidental, consequential, special, or punitive damages.
8. Intellectual Property
Users retain ownership of Content they submit. By submitting Content, users grant Snodo a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that Content solely for the purpose of operating the Platform.
9. Data Protection
Snodo is the data controller for personal data processed in connection with the operation of the Platform. Builders are solely responsible for any personal data processed by their Agents.
10. Account Suspension and Termination
Snodo may suspend or terminate accounts for violations of these Terms, fraudulent activity, or failure to complete verification requirements.
11. Governing Law
These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
